RoomsImagined.com – Terms of Service
Effective Date: [10-1-2025]
These Terms of Service (“Terms”) are a legal agreement between you and RoomsImagined.com (“RoomsImagined.com,” “we,” “us,” or “our”) governing your access to and use of the RoomsImagined.com website, applications, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
1) Eligibility & Accounts
You must be at least 18 and able to form a binding contract.
You are responsible for your account credentials and for all activity under your account.
You agree to keep your information accurate and current.
2) Subscriptions, Credits, Billing, & Taxes
Plans & Auto-Renewal. We offer subscription plans that include a fixed number of image credits per billing period. Plans auto-renew until you cancel.
Credits. Credits enable image processing (e.g., staging or declutter). Credits do not roll over and expire at the end of each billing period. Credits have no cash value and are non-refundable.
Free Trials / Promotions. Trials or promotional credits may be offered and are subject to any stated limits. We may modify or end promotions at any time.
Billing. We use third-party payment processors (e.g., Stripe). By subscribing, you authorize us (and our processor) to charge your payment method for the plan price, applicable taxes, and any additional purchases.
Price Changes. We may change plan prices with notice. Changes apply at your next renewal.
Failed Payments. If a payment fails, we may suspend or terminate access until payment is resolved.
Refunds. Except where required by law, payments are non-refundable.
3) Cancellations
You can cancel at any time, effective at the end of the current billing period.
On cancellation, you keep access through the period end; unused credits are forfeited and will not be refunded.
We may cancel or suspend your account for breach of these Terms or for risk/fraud.
4) The Service & Outputs
AI-Assisted Processing. RoomsImagined.com uses proprietary tools and may integrate third-party AI or rendering providers (“AI Providers”) to generate staged or decluttered images (“Outputs”).
No Structural Changes. Our intended use is virtual staging/declutter for marketing visuals only. Outputs are illustrative; they may not represent real-world conditions or feasibility.
MLS & Labeling Responsibility. You are solely responsible for ensuring your listings comply with MLS/association rules, local laws, disclosure requirements, and any watermark/labeling standards.
Watermarks. You may choose to apply an “AI-staged” watermark. If you remove or disable such markings where required, you are solely responsible for compliance.
5) Your Content & License to Us
Your Content. You retain all rights to photos, instructions, metadata, and other materials you submit (“User Content”), provided you have the rights to submit them.
License to RoomsImagined.com. You grant RoomsImagined.com a worldwide, non-exclusive, royalty-free license to host, process, reproduce, modify, and display User Content solely to provide and improve the Service (including quality assurance, troubleshooting, and model evaluation).
Shared Spaces. If you upload content to a shared property/workspace, collaborators with appropriate permissions may view and process that content.
6) License to Outputs
Subject to these Terms and full payment, RoomsImagined.com assigns to you any rights we have in the Outputs created from your User Content, to the extent permitted by our AI Providers’ terms. Where assignment is not permitted, we grant you a worldwide, non-exclusive, royalty-free license to use, reproduce, and display the Outputs for real-estate marketing and related business purposes.
You may not represent Outputs as actual, current property conditions. If laws, MLS rules, or platform policies require labeling, you must label them (e.g., “Virtually Staged”).
7) Acceptable Use
You will not:
- Upload content that you do not own or lack necessary permissions to use.
- Upload unlawful, infringing, defamatory, deceptive, or harmful content.
- Attempt to extract proprietary model data, reverse engineer, or bypass any security.
- Misrepresent Outputs as unaltered photos, or use them to mislead buyers.
- Interfere with or disrupt the Service or other users’ access.
8) Third-Party Services
The Service may rely on or link to third-party services (e.g., storage, payment, AI Providers). Use of those services may be subject to separate terms. We are not responsible for third-party services we do not control.
9) Privacy
Our collection and use of personal data are described in our Privacy Policy, which is incorporated by reference. By using the Service, you consent to those practices.
10) Intellectual Property
RoomsImagined.com and its licensors own all rights in the Service, including software, designs, and trademarks. Except for the limited rights expressly granted, no licenses are granted by implication or otherwise.
11) Feedback
If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
12) Availability & Changes
We may modify, suspend, or discontinue features or the Service (in whole or part) with reasonable notice where practical.
We strive for high availability but do not guarantee uninterrupted Service.
13) Disclaimers
THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that Outputs will be error-free, meet MLS/platform requirements, or achieve desired marketing results.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMSIMAGINED AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO ROOMSIMAGINED IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.
15) Indemnification
You will defend, indemnify, and hold harmless RoomsImagined.com from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your User Content, use of the Service, violation of these Terms, or violation of applicable law or third-party rights.
16) Termination
You may stop using the Service at any time. We may suspend or terminate your access for any material breach of these Terms or to comply with law. Sections that by their nature should survive termination will survive (e.g., 5–7, 10–15, 18–22).
17) DMCA / IP Complaints
If you believe content on the Service infringes your copyright, please send a notice to our support:

Include: (a) identification of the work claimed infringed, (b) the allegedly infringing material and its location, (c) your contact info, (d) a statement of good-faith belief, (e) a statement under penalty of perjury of accuracy and authorization, and (f) your physical or electronic signature.
18) Governing Law; Dispute Resolution; Arbitration
Governing Law. These Terms are governed by the laws of the State of Delaware, excluding conflicts of law rules.
Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. The seat of arbitration is Wilmington, Delaware; the language is English. Judgment may be entered on the award in any court with jurisdiction.
Class Action Waiver. Disputes must be brought on an individual basis; class actions and class arbitrations are not permitted.
Opt-Out. You may opt out of arbitration by sending written notice to legal@roomsimagined.com within 30 days after you first accept these Terms. If you opt out, you agree to the exclusive jurisdiction of state or federal courts in Delaware.
19) International Use & Export
You must comply with all applicable export, sanctions, and trade laws. You may not use the Service if you are located in an embargoed country or on any government restricted-party list.
20) Security
We implement reasonable administrative, technical, and organizational measures to protect your data. No system is 100% secure; use the Service at your own risk.
21) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice (e.g., by email or in-product). Your continued use after changes become effective constitutes acceptance.
22) Miscellaneous
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms.
Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
Severability. If any provision is unenforceable, it will be modified to the extent necessary to make it enforceable; the remainder will remain in effect.
Entire Agreement. These Terms, plus any plan/order details and our Privacy Policy, are the entire agreement between you and RoomsImagined.com regarding the Service.
